Jonathan Harris

Jonathan practices in the areas of:

  • Corporate and Commercial;

  • Business Succession and Estate Planning.

 

Jonathan advises clients in a wide range of commercial and business law matters with a focus on commercial transactions, share/business sales and acquisitions, share buy-backs, business structuring, joint ventures and trusts. He acts for a number of businesses of all sizes from SMEs through to large private corporate groups. He regularly advises those organisations, and their directors and shareholders, in relation to compliance issues and their rights and duties under the Corporations Act.

 

He is also experienced in a wide range of property and development matters including property acquisitions and disposals, development projects  (including all aspects of documentation of joint ventures, structuring and financing arrangements), and general property matters (including rural, residential and commercial conveyancing) along with various other incidental issues arising from those transactions such as advising on duties and land tax issues.

 

He regularly acts for a number of private clients, high net worth individuals and family groups in respect of their business, property and private advisory needs.

 

Examples of Jonathan’s work include:

  • Advising the majority shareholder of a data storage company in respect of its buy-out of the minority shareholders (including advice on share buy-back and further share issue arrangements).

 

  •   Advising a large private corporate group on its restructuring arrangements and the issue of shares to key executives under an employee incentive arrangement.

 

  • Advising on financial assistance “white wash” arrangements for the leveraged acquisition of an IT services provider.

 

  • Acting for an aged care operator on its proposed $40 million sale of its aged care facility (comprising business and land assets) and providing restructuring and corporate consolidation advice;

 

  • Acting on the sale of an industrial supply company including vendor financing component requiring advice and preparation of security documentation to secure $4 million of trailing purchase price instalments.

 

  • Advising a CBD landowner in respect of restructuring its joint venture with an international property syndicate, including advising on proposed financing arrangements and exit strategies for the project;

 

  • Advising on the conversion of an apartment block in Sydney’s lower north shore to strata title including preparation of strata plan, easements, covenants with Local Council, and the eventual sale of subdivided strata lots for an aggregate sum of $14 million under put and call option.

 

  • Acting on the sale of a dairy operation in the Hunter Valley in two stages, involving an immediate purchase of one parcel of land, with an agricultural lease and option to purchase the second parcel. This involved the sale of all stock, equipment and associated water rights (including a subdivision of the water entitlement to permit the sale, lease and option to purchase in two stages).

 

  • Advising a national fruit producer and distributor on an ongoing basis in respect of all elements of their operation including property and business acquisitions, landholder issues, water rights, export issues and the exclusive licensing, distribution and growing rights for fruit varieties in Australia.

 

 

Jonathan graduated from the University of Wollongong with a Bachelor of Laws and a Bachelor of Commerce, majoring in Accounting, with Distinction. He holds a Graduate Diploma of Legal Practice.
